Supplies of Goods and Proposed Goods
The conditions set out below apply to all supplies of goods and proposed goods by Agropharm Ltd (and any company from time to time in the same group as Agropharm Ltd and any company, acting in the United Kingdom, affiliated to such group) to any customer, (such term shall include any person at whose request or on whose behalf, Agropharm Ltd undertakes business or provide advice, information or services) and supersedes any previous supply conditions published by Agropharm Ltd.

Pricing
Unless otherwise stated all price quotations are valid for a period of 30 days. All prices quoted are exclusive of any value added tax payable in the country of original delivery. Should any customer cause delay in accepting delivery beyond 30 days from the expected shipping date of our order confirmation, we shall be entitled to charge the list price(s) for the product(s) in effect on the actual date of delivery.

Damages
Agropharm should be advised in writing within 72 hours of receipt of any product(s) received in a damaged condition or with missing items. For all claims full details of the damage(s) should be provided including digital photographs of the damaged area(s). Any damages noted before the product(s) have been unloaded from the vehicle should be written on the delivery note at the time of unloading. Any claim for damaged product(s) should be made available for inspection and must not be destroyed before a period of at least four weeks unless prior authorisation has been given by Agropharm.

Product discrepancies
The Customer should advise Agropharm immediately of any variance(s) in products received to the order submitted on arrival of the vehicle, before any unloading takes place if possible.

Quality issues
Please note any quality issues regarding any product should be notified to Agropharm within 7 days of delivery. Samples should be sent to Agropharm if requested or the product(s) should be made available for inspection for a period of at least four weeks from the notification of quality issue date. Please note Agropharm will not accept any additional costs incurred by the customer due to product quality issues.

Deliveries
Agropharm are unable to guarantee delivery times and take no responsibility for delays incurred due to circumstances outside our control such as breakdowns, traffic congestion or adverse weather conditions. Agropharm will endeavour to inform the Customer of any delays and to offer alternative delivery times as appropriate. Agropharm reserves the right to change delivery schedules if appropriate.

Demurrage/Waiting time
Agropharm reserves the right to pass on any additional costs incurred due to the Customer delaying the unloading of the delivery at the agreed time, which may result in the transport provider and/or a third party such as a shipping line raising additional charges.

Taxes
The Customer is responsible for payment of all taxes which may be assessed or levied on or on account of the products sold to the customer, including without limitation, all value added and sales taxes.

Export
The customer undertakes not to export or re-export products in violation of the export control regulations of the USA, EU and/or United Kingdom.

Cancellation
The Customer is obliged to give Agropharm at least 24 hours notice of any change of delivery date or time. When the load has already been prepared for delivery the Customer will be liable for any additional handling and/or other charges incurred for the unloading of the goods, likewise for any wasted journeys when the Customer is unable to accept the delivery on arrival at the nominated premises.

Payments
The Customer will be invoiced for the goods supplied within 3 working days of delivery, and unless otherwise agreed in writing the Customer is obliged to make payment in full (including VAT or any other taxes as applicable) to Agropharm within the terms as shown on the invoice from the date of invoice and in the same currency as invoiced. Agropharm reserves the right to charge interest at the rate of 2% per month or part thereof on any amounts overdue from the Customer. In the event that the Customer disputes the accuracy of an invoice they shall pay the undisputed amount, and inform Agropharm in writing within 21 days from the invoice date of the nature of the dispute. Agropharm shall use their best endeavours to settle the dispute amicably and POD’s will be supplied at the customer’s request.

Retention of Title
Title of goods supplied to the Customer shall remain the property of Agropharm until such time that all sums claimed by Agropharm Ltd have been paid in full. Agropharm shall have a specific lien on all goods supplied to the Customer whether in its possession or under its control, and whether converted or not, as well as a general lien entitling Agropharm to retain those goods or any documents as security for payments of all sums claimed by Agropharm from the Customer on any account.

Insurance
The Customer shall be responsible for effecting and maintaining appropriate ‘all risks’ insurance for the full insurable value of the goods whilst in the Customers possession and/or control.

Force Majeure
The Customer shall not be excused from its liabilities or obligations due to events beyond its control, including without limitation fire, storm, flood, earthquake, explosion, accidents, acts of the public enemy, sabotage, riots, civil disorder, insurrection, war, strikes, lockouts, labour disputes, labour shortage, work stoppages, transportation, embargoes or delay, failure or shortage of materials, equipment, fuel, electricity or other supplies, failure of suppliers to deliver as requested, failure of repair facilities to finish repairs, acts of God, and acts, orders, directions or regulations or priorities of any government or its branches or agencies.

Assignment
The Customer cannot assign or charge any goods or debts without prior written permission being received from Agropharm.

Limitation of Liability
Agropharm shall not be liable to the customer for any loss of profit, loss of opportunity, costs and fines and/or any indirect or consequential loss, whether based on contract, misrepresentation, tort (including negligence), strict liability or otherwise, arising out of the design, manufacture, sale, delivery, installation, service or use of the product(s). Any claims against the company by the customer must be made in writing within 14 days from delivery date and any claim not submitted within this period will be deemed to be waived and absolutely barred.

Miscellaneous
These terms and conditions shall be governed by and construed according to the Laws of England. The parties hereby submit to the exclusive jurisdiction of the English Courts.
